NOGATE MUSIC — EXCLUSIVE BEAT PURCHASE AGREEMENT

1. Your purchase
Short Beats (1:00 up to 2:30) are $50 USD; Full Song Beats (2:30 or longer) are $100 USD. The selected beat’s category, length and total price are shown before checkout. Both tiers are delivered electronically only: full untagged WAV and MP3 plus individual audio stems in a ZIP. No physical medium is supplied. There is no subscription, automatic renewal, required editing purchase or NoGate royalty. Purchases are currently offered to US residents and US-based businesses only. You confirm that you are at least 18 and authorized to make this purchase. This sales limit does not limit where you may release your completed music. The amount shown before payment is the total charged; we do not add undisclosed fees afterward.

2. Make music with it
After confirmed payment, you may record vocals, rearrange, mix, master and remix the delivered beat for your songs. You may perform, release, distribute, promote and monetize those songs worldwide, including streaming, video and sync uses, with no NoGate stream limit or additional NoGate fee. You may share working files with collaborators, engineers, distributors and business partners as needed for those projects. You retain rights you hold in your lyrics, performances and other contributions. NoGate credit is optional.
Do not resell or give away the unchanged beat or stems as a standalone beat, sample pack or competing market listing, or give another person a separate exclusive sale of the same delivered instrumental. This does not stop ordinary distribution or licensing of your completed songs. NoGate does not acquire rights in your completed song through this purchase.

3. Our exclusive-sale commitment
NoGate confirms it has not previously sold or licensed this particular instrumental to another buyer. After your paid purchase, we stop offering it for sale and will not sell, license or use it for another customer's music. We keep necessary private delivery and sales records. We will not publish your finished song or use the sold beat in new public promotion without your permission. The pre-sale preview is for evaluation, not permission to release it. A refund or payment dispute never makes this sold exclusive available for resale by NoGate.

4. AI and rights
The instrumental was produced using AI and prepared in NoGate Studio. We grant rights and permission we can legally grant, not copyright that the law does not recognize. We do not guarantee copyright registration, worldwide uniqueness, distributor acceptance or absence of third-party claims. Independently generated similar music may exist. This does not remove our one-buyer promise or mandatory responsibilities. Your own protectable human contributions remain governed by applicable law. Do not assert copyright or automated fingerprint claims you do not legitimately hold. Check your distributor's AI and fingerprint rules before registering the raw instrumental or your finished recording. Contact Support if a claim concerns the delivered instrumental; a claim alone does not prove either side is correct.

5. Delivery and recovery
After processor-confirmed payment, the private order page provides your files. Save the purchase link and keep your own backup copies. The link grants download access; do not share it publicly or paste it into AI help. If lost, use the private Support form with your order number. We verify the original purchase before issuing replacement access. Permission to use your delivered music is not a subscription and does not expire when you stop visiting Studio; perpetual hosting or operation of the website is not promised.

6. Problems, refunds and claims
Report missing, corrupt or materially misdescribed files through Support. We investigate and try to provide a working package matching the offer. If we cannot provide what was purchased, we will resolve the issue with an appropriate refund or another solution you accept. Other refund requests are reviewed individually, including whether files have been delivered or used. Mandatory consumer rights remain intact; this is not a blanket no-refunds rule. Payment reversal may stop future downloads while the payment is resolved. Rights after an agreed refund should be stated in that resolution, not silently changed through a later policy. For rights complaints, provide the beat/order reference and claim details privately; we preserve records and investigate. Do not send full card numbers or private purchase links to public AI help.

7. Optional editing
You may edit the files yourself or choose any engineer. NoGate editing is separately available at $100/hour. Before work begins we agree on the scope, estimated hours, maximum authorized charge, deliverables, timing and revision scope. Work beyond that cap needs a new approval. We do not automatically charge the beat-purchase card or require you to purchase editing. Cancellation and payment for completed work are governed by the accepted work order and mandatory consumer rights. No particular commercial result is guaranteed.

8. Fair resolution and retained terms
Start with NoGate Support at https://studio.nogatemusic.com/support/ and include your order number. Gritlo explains approved guidance; it cannot issue refunds, reveal private purchase links, provide legal advice or change this agreement. Exceptions need an authorized written agreement with NoGate. Virginia law governs to the extent applicable, without removing mandatory protections available to you under other applicable law. We impose no mandatory arbitration, class-action waiver, blanket indemnity, stream cap or unilateral right to revoke paid music rights merely because we change policies. Nothing excludes liability or remedies that cannot lawfully be excluded.
The version accepted before checkout governs your order. Later versions do not silently rewrite it. You can save this agreement and download an order/acceptance record from your private order page. Your checkbox acceptance and US-buyer confirmation are recorded with that version, its content hash and time. Payment records are independently verified.
